1. Definitions, Interpretation and Non-Affiliation
1.1 Definitions. "Property" means the dwelling or unit at the property address. "Turnover" means the cleaning and reset of the Property between guest stays under the checklist the Company and the Host agree. "Guest" means any person who stays at or visits the Property under a booking. "Platform" means an online marketplace through which the Host lists the Property, such as Airbnb or Vrbo. "Feed" means a calendar feed in iCalendar (.ics) format that the Host provides. "Restock Items" means linens, towels, toiletries, consumables and amenities. "Photo Report" means a set of photographs and notes the Company's crew prepares after a Turnover. "Same-Day Turnover" means a Turnover where one stay ends and another begins on the same calendar day. "Turnover Window" means the time between check-out and the next check-in, as stated in the Key Terms.
1.2 Interpretation. Headings are for convenience only; "including" means "including without limitation"; and references to a law include it as amended.
1.3 Not affiliated. Airbnb, Vrbo and other platform names are trademarks of their respective owners. The Company is not affiliated with, endorsed by, sponsored by or approved by any Platform. Platform names are used only to describe the services the Host uses. The Company does not operate, control or speak for any Platform, and the Platform's own terms govern the Host's relationship with the Platform and with Guests.
2. Services
2.1 The Company will perform a Turnover for each stay shown on the Feed, using its employees, with its standard supplies and equipment (unless the Host asks the Company to use the Host's), to the checklist in the Key Terms and any written instructions the Host gives through the Company's app.
2.2 Restock. The Company will restock Restock Items from the Host's supply or, if the Host agrees, purchase them at cost plus the handling fee in the booking confirmation. The Company will tell the Host in the app before it buys items for the Host and will not buy items worth more than __________ in one Turnover without the Host's approval. The Host will reimburse the purchases and handling fee against an itemized receipt (photograph or digital) on the next invoice. Laundry of linens is a separate service stated in the booking.
2.3 Reports. After each Turnover the Company will give the Host a Photo Report through the app. The Photo Report documents visible condition, missing or damaged items the crew noticed, and low supplies. It is provided as documentation only (Section 6).
2.4 Exclusions. The Services do not include repairs, guest communications, check-in or check-out, key exchange with Guests, inspections, pest or biohazard remediation, or handling of Guests' belongings, except as the booking states. If the crew finds guest property it will photograph it and report it to the Host and will not remove it, except to protect it.
3. Calendar Sync Authorization
3.1 Authorization. The Host authorizes the Company to read the Feed on a recurring schedule solely to schedule Turnovers and send reminders, and to store the Feed's contents (dates and the Host-visible booking labels) for as long as the Agreement is in effect and for the retention period in the Company's privacy notice. The Host will provide a read-only Feed. The Company does not ask for, and the Host must not provide, the Host's Platform password, access tokens or two-factor codes. The Company does not log in to the Host's Platform account.
3.2 Accuracy. The Host is responsible for keeping the Feed accurate and for telling the Company promptly of any booking, extension, early check-in, late check-out or cancellation that the Feed does not show. Feeds may be delayed by the Platform for hours; the Company is not liable for a missed or mis-timed Turnover caused by a Feed error or delay, but will use reasonable efforts to accommodate changes.
3.3 Guest information. The Company does not need Guest names, contact details or payment information, and the Host will not send them. If a Feed contains personal information about Guests, the Company will use it only to schedule and will not contact Guests.
3.4 Revocation. The Host may remove the Feed at any time in the app. Revocation ends scheduling for future stays and does not affect Turnovers already confirmed.
4. Turnover Windows and Same-Day Turnovers
4.1 Windows. The Company will schedule each Turnover to finish within the Turnover Window if the Host gives access and the Property is in the condition the booking describes. Longer or heavier Turnovers (for example after a party, with a Property that has been left in poor condition, or with pets) may take longer and may require an additional crew-hour fee at the rate in the booking, which the Company will tell the Host about before it starts, if it can.
4.2 Same-Day risk allocation. For a Same-Day Turnover the Host acknowledges that timing risk is shared as follows: (a) the Host is responsible for setting check-out and check-in times with Guests that leave a reasonable Turnover Window; (b) the Company will arrive at the start of the window and make reasonable efforts to finish on time; (c) if a Guest has not left, the Property is not accessible, or the Property is in unusually poor condition, the Company will notify the Host at once and the Host decides whether to extend the window or delay check-in; (d) the Company is not responsible for the Host's costs of a late check-in, relocation or refund to a Guest, a Platform penalty, or a bad review where the delay was caused by the Guest's late check-out, lack of access, a Feed error or unusual condition; and (e) where the Company's crew is late for a reason within its control, the Company will credit the Host the fee for the affected Turnover and, as the Host's sole remedy for the delay, up to __________ of the Host's documented reasonable relocation cost for the affected Guest, subject to Section 11.
4.3 Backup. The Company will keep a backup crew for Same-Day Turnovers where it can and will tell the Host at least __________ hours in advance if it cannot staff a Turnover so the Host can make other arrangements, in which case no fee is charged.
4.4 Access. The Host will provide working access (key, lockbox, smart-lock code) and the alarm procedure, if any. Credentials are handled as the Company's Client Home Access and Confidentiality Agreement requires. The Host will not use shared codes that Guests can see. The Host will tell the Company about cameras and recording devices at the Property and will not place cameras in bathrooms or sleeping areas or record audio where Guests or crew would not expect it, and will comply with Penal Code section 632 and the Platform's rules on recording devices.
5. Fees, Billing and Cancellation
5.1 The Host will pay the price per Turnover, any added crew-hour fees, restock purchases and handling fees, and taxes the law requires. The Company invoices after each Turnover or weekly, and charges the payment method on file. A reserved Turnover that the Host cancels or moves with less than forty-eight (48) hours' notice is charged at fifty percent (50%) of the Turnover price as a reasonable estimate of the lost crew time that cannot be re-sold on short notice, except when the Platform cancels the stay or the Host cancels because of a Platform or Guest cancellation shown on the Feed, in which case no charge applies.
5.2 The Host may dispute an invoice within seven (7) days with reasons and photos.
6. Damage Photo Reports Are Documentation, Not an Inspection or Guarantee
6.1 Documentation only. Photo Reports are provided as documentation of what the crew observed and photographed at the time, not as an inspection, appraisal, certification, safety check or guarantee of the condition, cleanliness, habitability, safety or compliance of the Property, and not as a representation to any Guest, Platform or insurer. The crew is not trained or retained as an inspector; it does not test appliances, systems, smoke or carbon-monoxide alarms, locks, structure, water, gas, electrical, pool or spa, and does not check for pests, mold or hazards unless the booking says so.
6.2 No assumption of duties. The Company does not assume the Host's duties to Guests, including duties to maintain safe premises, to comply with housing, fire, safety and licensing laws, or to disclose conditions. The Host is responsible for the Property's condition and for its own inspection.
6.3 Use of photos. The Host may use Photo Reports to document damage for a Platform claim or insurance claim. The Company will not provide them to any third party except as the law requires or the Host asks. The Company retains Photo Reports for the period in its privacy notice and will provide a copy on request.
6.4 Limitation on reliance. The Host will not tell a Guest, Platform or insurer that the Company inspected or approved the Property.
7. Guest-Caused Damage
7.1 Guests, not the Company. Damage, theft, loss, stains, odors or mess caused by Guests or their invitees is the responsibility of the Guest and the Host's own arrangements with the Platform and the Host's insurers. The Company does not guarantee that the Property will be free of Guest damage, does not screen or monitor Guests, and is not responsible for damage that existed before a Turnover.
7.2 What the Company does. If the crew notices apparent Guest-caused damage, missing items or unusual condition, the Company will photograph it and tell the Host through the app promptly. The Company's reporting is not an allegation against any Guest.
7.3 Company-caused damage. If the Company's crew negligently damages the Property, the Company will repair or pay the reasonable cost to repair or replace the item, subject to Section 11 and the claim steps in the Company's Residential Service Agreement, which apply by reference with the Host as "Client".
8. Host Responsibilities
The Host will: keep the Property safe and tell the Company about hazards, pets, secured areas and valuables; remove or lock away valuables, cash, documents, medication and irreplaceable items; maintain insurance for the Property and its short-term rental use (including host liability and property coverage that expressly covers short-term rental, which standard homeowner or renter policies often exclude); provide Restock Items or authorize purchase; and comply with the Platform's terms.
9. Host Is Responsible for Registration, Permits, Taxes and Lawful Use
9.1 The Host represents and warrants that the Host has the right to authorize the Turnovers, that the Property may lawfully be offered as a short-term rental, and that the Host holds and will keep current every registration, license, permit and approval the law requires for short-term rental of the Property, including, where it applies, a registration under the City of Los Angeles Home-Sharing Ordinance, and the registration or license of any other city or county. The Host is solely responsible for the transient occupancy tax and all other taxes, for complying with rent-stabilization, lease, homeowners' association and condominium rules, and for fire, safety and building rules.
9.2 No advice. The Company gives no legal, tax, licensing or insurance advice and does not verify the Host's compliance. The Company may ask the Host for the registration reference in the Key Terms, may decline or end service for a Property that it reasonably believes is not lawfully offered, and will not provide services intended to evade a registration, cap or prohibition.
9.3 Notice of non-compliance. If a government agency notifies the Host of a violation, the Host will tell the Company promptly, and the Company may suspend the Services.
10. Employees and Insurance
10.1 The Company's crew are its employees, directed solely by the Company, and the Company is responsible for their wages, taxes and workers' compensation. The Host will not direct the details of their work beyond the checklist, will not pay or tip them through the Company except as the Host chooses to tip, and will not employ them directly during an assignment.
10.2 The Company maintains commercial general liability insurance for the Services and will provide a certificate through the app on request. The Company's insurance does not cover the Host's Property in general, Guest claims against the Host, or loss of rental income.
11. Limits on Liability
11.1 To the extent the law allows, the Company's total liability for any claim arising from a Turnover is limited to the lesser of the reasonable repair or replacement cost of the item and __________, and the Company is not liable for lost rental income, refunds to Guests, Platform fees or penalties, reviews or ratings, or other indirect, special or consequential damages.
11.2 Nothing in this Agreement limits liability for fraud, willful misconduct, gross negligence, bodily injury or death, violation of law, or anything else California law does not allow a business to limit (Civil Code section 1668).
12. Indemnification
12.1 The Host will indemnify and hold harmless the Company from third-party claims, including by Guests, neighbors, a Platform or a government agency, to the extent arising from the Host's Property, the Host's violation of law or registration obligations, hazards the Host failed to disclose, or the Host's recording devices, other than claims caused by the Company's negligence or willful misconduct.
12.2 The Company will indemnify and hold harmless the Host from third-party claims to the extent caused by the negligence or willful misconduct of the Company's crew in performing a Turnover.
12.3 Each indemnity applies in proportion to fault and is subject to prompt notice and the indemnifying party's right to control the defense.
13. Term and Termination
This Agreement continues until a party ends it. Either party may end it for any reason on seven (7) days' written notice, effective for stays that begin after the notice period, and the Company will refund any amounts paid for Turnovers it will not perform. The Company may end it immediately if the Property is unsafe, unlawfully offered, or the Host or a Guest harasses or endangers the crew. Sections 6, 7, 9, 11, 12 and 14 survive.
14. Privacy, Disputes and General
14.1 Privacy. The Company's Privacy Notice governs personal information. The Company is a service provider for the limited purpose of scheduling and performing Turnovers.
14.2 Disputes. California law governs. Disputes are resolved as the Company's Terms provide in their section on dispute resolution and arbitration (applicable to a Host who is an individual), or, if the Host is a business, by good-faith discussion, then mediation in Los Angeles County, then the courts in Los Angeles County, and the prevailing party recovers reasonable attorney's fees (Civil Code section 1717).
14.3 General. This Agreement, the booking confirmations and the Terms are the entire agreement. It may be changed only in writing or by in-app acceptance. If a provision is unenforceable the rest remains in effect. Failure to enforce is not a waiver. Neither party may assign it without consent, except the Company to a successor to its business. Neither party is liable for delay caused by events beyond its reasonable control, but payment is not excused. Notices are given through the app and the email on file. It may be signed electronically (Civil Code section 1633.7).
